The Koh Tao Community Market Place does not allow the use of profanity or patently vulgar language. This includes the use of language that is racist, hateful, sexual, or obscene in nature in a public area. the Koh Tao Community Market Place does not condone the posting of any content which constitutes illegal conduct, encourages illegal conduct, or which is false, fraudulent, misleading, inaccurate, defamatory, involves counterfeit goods or documents, or which infringes upon any copyright, trademark, or other intellectual property right protections. Posting of content which violates these Terms of Use, or the spirit thereof, may result in disciplinary action. This action may include a formal warning, the ending of all violating postings, or even temporary or indefinite suspension of a Registrant’s account. The failure of the Koh Tao Community Market Place to act or its election not to act with respect to a breach of this Agreement by you or other third parties shall not waive the right of the Koh Tao Community Market Place to act with respect to subsequent or similar breaches. The Koh Tao Community Market Place does not guarantee that it will pursue action or seek remedies against all breaches of this Agreement. 7. Release and Indemnity. If you have a dispute with one or more REGISTRANTS, you agree that you release the Koh Tao Community Market Place (and its officers, managers, members, employees and agents) from any claims, demands and damages (actual or consequential) of any nature, whether known or unknown, arising out of or in any way connected with such disputes, the Koh Tao Community Market Place facilitates the exchange of goods and information by providing a forum for such transactions. the Koh Tao Community Market Place is not a buyer or seller of goods, and is not involved in any actual transactions between RESISTRANTS. As such, the Koh Tao Community Market Place has no control over and does not guarantee the quality, authenticity, condition, safety of legality of any items advertised, the truth or accuracy of any postings by REGISTRANTS, the marketability of title or the rightful ownership of any items which may be posted on the website. You agree to indemnify and hold the Koh Tao Community Market Place (and its officers, managers, members, employees and agents) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party. 8. No Agency. No agency, partnership, joint venture, employment or franchise relationship is intended to be created between the Koh Tao Community Market Place and any other party by this Agreement. 9. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY. YOU AGREE THAT YOUR ACCESS TO, AND USE OF, THE KOH TAO COMMUNITY MARKET PLACE AND THE CONTENT AVAILABLE THROUGH THE KOH TAO COMMUNITY MARKET PLACE IS ON AN "AS-IS", "AS AVAILABLE" BASIS AND WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESSED OR IMPLIED. THE KOH TAO COMMUNITY MARKET PLACE AND ITS SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, AND EMPLOYEES ("THE KOH TAO COMMUNITY MARKET PLACE PARTIES") WILL NOT BE LIABLE (JOINTLY OR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT OF YOUR ACCESS OR USE OF THE KOH TAO COMMUNITY MARKET PLACE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES. Liability. The Koh Tao Community Market Place cannot guarantee continuous or secure account services, and operation of this website may be interfered with and disruptions of service may be caused by any number of factors outside of its control. 11. Attorney Fees. Assignment. General. This Agreement contains the final and entire agreement between us regarding your use of the Koh Tao Community Market Place and supersedes all previous and contemporaneous oral or written agreements regarding your use of the Koh Tao Community Market Place. We may discontinue or change the features or their availability to you, at any time. This Agreement is personal to you, which means that you may not assign your rights or obligations under this Agreement to anyone. No third party is a beneficiary of this Agreement. You agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the Republic of Mauritius applicable to contracts made entirely within Mauritius and wholly performed in Mauritius, without regard to any conflict or choice of law principles. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or state court located in Mauritius having jurisdiction over the Koh Tao Community Market Place under the laws of the Republic of Mauritius. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods. If any provision of this Agreement is found invalid, unenforceable or in violation of any law by a court of competent jurisdiction, such provision shall be modified only to the extent necessary to enable such provision to be valid and enforceable, without effect in the remaining portions of this Agreement, which shall remain in full force and effect. This Agreement is binding upon and shall inure to the benefit of the parties' heirs, executors, administrators, representatives, successors, and assigns. Headings utilized in this Agreement are for reference purposes only and shall not be construed as limiting the scope or extent of any section of the Agreement.
